Company Law

The legislation that applies to companies can be complex, and this module provides you with a critical understanding of some of the major topics in this area.  You’ll also gain the ability to analyse complex problems in Company Law and develop suitable solutions.

What does the module cover?

Understand corporate personality and its limits.  Study the promotion and incorporation of companies, as well as the contents of constitutional documents and their significance and legal effect.  Examine the doctrine of ultra vires and its interaction with an authority of directors to bind a company.  Investigate the requirements regarding the raising of share capital, the types of share, and the rights of shareholders, including class rights.  Become familiar with the processes involved in the appointment and remuneration of directors, the removal of directors, and the management of the company’s business.  Explore directors’ duties and minority shareholder protection, and the various forms of insolvency procedure.

Assessment

You’ll complete a coursework assignment of around 1600 words and worth 40% of your grade, and an examination lasting 90 minutes and worth 60% of your grade.  Exam venues are located across the UK and exams take place twice a year.  Please note that there are additional assessment fees for each module.
